Acceptance of Terms & Eligibility

By creating an account, connecting an exchange API key, or otherwise accessing the Morphic AI platform ("Service"), operated by Morphic AI NV, registered in Kontich, Belgium ("Morphic AI", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

The Service is available only to individuals who are at least 18 years of age and who have full legal capacity to enter into binding contracts under the laws of their jurisdiction of residence. By using the Service, you represent and warrant that you meet these requirements.

Not Financial Advice

Morphic AI provides algorithmic trading software only. We are not a licensed financial advisor, investment advisor, broker-dealer, or portfolio manager in any jurisdiction, and nothing on the platform, in our communications, or in our marketing materials constitutes financial, investment, tax, or legal advice.

Any decision to connect an exchange account, enable a strategy, or otherwise use the Service is made solely at your own discretion. You are responsible for evaluating whether automated trading is appropriate for your personal financial circumstances, and we strongly encourage you to seek independent professional advice before doing so.

Risk Acknowledgement

Cryptocurrency markets are subject to extreme volatility, low liquidity in certain conditions, and rapid, unpredictable price movements. Automated execution does not eliminate market risk. Past performance of any strategy, algorithm, or the Service generally is not indicative of, and does not guarantee, future results.

You acknowledge and accept that trading — whether manual or automated — can result in partial or total loss of the capital held in your connected exchange account, including losses arising from adverse price movements, exchange-side liquidations, slippage, or extended periods of market dislocation. To the maximum extent permitted by applicable law, Morphic AI shall not be liable for any financial losses, missed gains, or account liquidations resulting from the operation of the Service.

API Key Security

You agree to provide Morphic AI exclusively with trade-only API keys issued by your exchange, with withdrawal permissions disabled at the exchange level. You must not attempt to grant, and must promptly revoke, any API key connected to the Service that carries withdrawal, transfer, or fund-movement permissions.

Our onboarding and connection process includes an automated security check that rejects any API key detected to carry withdrawal permissions. This check is a technical safeguard, not a substitute for your own diligence in generating and scoping your API keys correctly at the exchange level.

Performance Fee & Billing

Morphic AI operates on a performance-fee model: we charge a percentage of the net trading profit generated on your connected account over an agreed billing period, calculated after realized gains and losses. No fee is charged on a period in which no net profit was generated.

Performance fees are due within the period specified at onboarding. Where a fee remains unpaid after the applicable grace period, Morphic AI reserves the right to suspend or restrict your access to the software — including pausing active strategies — until the outstanding amount is settled. Suspension for non-payment does not itself constitute termination of your account.

Account Registration & Your Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate registration information and to keep it up to date.

Limitation of Liability

To the fullest extent permitted by applicable law, Morphic AI NV, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or capital, arising out of or in connection with your use of the Service. Nothing in these Terms limits liability that cannot be limited or excluded under mandatory provisions of Belgian or EU law.

Termination

You may stop using the Service and disconnect your API key at any time. We may suspend or terminate access to the Service, with or without notice, where we reasonably believe these Terms have been breached, where required by law, or where continued provision of the Service to you would expose Morphic AI to legal or regulatory risk.

Governing Law

These Terms are governed by the laws of Belgium, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall fall under the exclusive jurisdiction of the competent courts of Belgium, subject to any mandatory consumer-protection rules of your country of residence.

Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the platform or by email ahead of taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
